1. Acceptance of Terms

By accessing or using the AuthoringDeck website and services (“Service”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to all the terms and conditions of this agreement, you may not access the Service. These Terms constitute a legally binding agreement between you and AuthoringDeck, Inc.

2. Description of Service

AuthoringDeck provides an enterprise-grade DITA XML authoring and component content management platform designed for organizations that manage large volumes of technical and operational content. The Service includes web-based authoring tools, content management capabilities, workflow automation, multi-channel publishing, and related features.

3. Account Registration

To access certain features of the Service, you must register for an account. When you create an account, you agree to:

  • Provide accurate, current, and complete information about yourself and your organization
  • Maintain the security of your account credentials and not share them with third parties
  • Promptly update your account information if any changes occur
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

4. License and Usage Rights

Subject to your compliance with these Terms, AuthoringDeck grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not permit you to:

  • Resell, sublicense, distribute, or commercially exploit the Service
  • Modify, adapt, translate, or create derivative works based on the Service
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Use the Service to build a competing product or service
  • Access the Service through automated means (bots, scrapers) without authorization
  • Remove or alter any proprietary notices or labels on the Service

5. User Content

You retain ownership of all content, data, and materials that you upload, submit, or transmit through the Service (“User Content”). By using the Service, you grant AuthoringDeck a limited license to host, store, process, and display your User Content solely for the purpose of providing and improving the Service.

You represent and warrant that:

  • You own or have the necessary rights to all User Content you submit
  • Your User Content does not violate any applicable laws or regulations
  • Your User Content does not infringe the intellectual property rights of any third party
  • Your User Content does not contain harmful code, viruses, or malware

6. Payment and Subscription Terms

Certain features of the Service may require payment of fees. By subscribing to a paid plan, you agree to:

  • Pay all applicable fees as described on our pricing page
  • Provide valid payment information and keep it current
  • Accept that fees are non-refundable except as required by law
  • Understand that subscription fees may change with 30 days advance notice
  • Accept that failure to pay may result in suspension or termination of your account

7. Data Backup and Security

While we implement reasonable security measures and backup procedures, you are responsible for maintaining copies of your User Content. AuthoringDeck is not liable for any loss of data resulting from system failures, security breaches, or other causes beyond our reasonable control. We recommend that you regularly export and back up your content.

8. Intellectual Property

All intellectual property rights in the Service—including software, design, trademarks, logos, and documentation—are owned by AuthoringDeck or its licensors. Nothing in these Terms grants you any right to use AuthoringDeck's trademarks, logos, or other proprietary marks without our prior written consent.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete your account and User Content
  • All provisions of these Terms that should survive termination will remain in effect
  • You remain liable for all amounts due up to the date of termination

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. AUTHORINGDECK DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

IN NO EVENT SHALL AUTHORINGDECK, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in San Francisco County, California.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. Material changes will be communicated via email or through the Service with at least 30 days' notice. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.
